1. Introduction

1.1 The parties. The terms and conditions set forth in this Additional Affiliate Terms and Conditions (these “Terms”) apply to your participation in the Affiliate program (as defined below) of Lnk.Bio, Gimucco PTE LTD, 16 Raffles Quay, #33-03 Hong Leong Building, 048581, Singapore (”us”, “we” “Lnk.Bio”)

1.2 The Affiliate Program. Lnk.Bio provides a linkinbio builder service (the “Platform”). As part of its offering, Lnk.Bio provides subscription plans allowing individual creators and businesses to build their own profile on the Platform . The Lnk.Bio Affiliate Program allows active subscribers (the “Referrer(s)”) to the Lnk.Bio subscription plans (the ”Subscription Plans”) to earn a commission (”Commission(s)”) by referring friends and others to the Subscription Plans through the use of a personal referrer link.

1.3 Acceptance of the Terms. By accepting and sharing your Link (as defined below) or otherwise signifying your acceptance of these terms and conditions, you are agreeing to be bound by these Terms.

1.4 Amendments. Occasionally Lnk.Bio may, in its discretion, make amendments to these Terms. If Lnk.Bio modifies these terms, we will post the modification on the website, which is effective upon posting. If Lnk.Bio makes amendments to these terms that Lnk.Bio deems material for you, Lnk.Bio will notify you through the website. Continued participation in the Program after any modification shall constitute consent to such modification.

1.5 Other applicable terms. Any use by you of the Platform or otherwise of Lnk.Bio's services will be subject to separate terms and conditions, such as the terms applicable to your Subscription Plan.

2. The Affiliate Program

2.1 Referrers. Any individual/business with a Lnk.Bio account in good state (not banned, suspended) may be a Referrer.

2.2 The referral link. Lnk.Bio will provide you with a personal referral link (the “Link”), which you may share for the purpose of referring potential customers to sign up for the Subscription Plans.

2.3 Referred Customers. Any individual/business (except for yourself and your business or its associates) may be referred to Lnk.Bio under the Affiliate Program provided that such creator is (i) a new subscriber and (ii) meets and accepts the terms and conditions applicable to the Subscription Plans. A person signing up for the first time for a Subscription Plan by using the Link will count as a “Referred Customer”.

3. Commission

3.1 Commission. A Referrer can earn a Commission if: (i) the Referrer is an active Lnk.Bio user in good standing, without having been suspended or banned from the system, (ii) a Referred Customer signs up for a Subscription Plan eligible for a Commission directly via the Link and (iii) the Referred Customer becomes a paying subscriber to a Subscription Plan. The Referrer will receive a Commission of 15% (fifteen percent) on the net sale amount of the Subscription Plan. Lnk.Bio may update the reward model from time to time, at its discretion.

3.2 Pending Commission. A Commission starts with the status of Pending Commission once the Referred Customer completed their purchase. It remains a Pending Commission until 45 (forty-five) days have passed from the Referred Customer's purchase, in order to account for refunds and complaints.

3.3 Valid Commission. After 45 days, the Commission becomes a Valid Commission, and is added to the Available Payout Total.

3.4 Available Payout Total. The Available Payout Total represents the total of all the Valid Commissions earned by a Referrer. A Referrer can request a payout for their Available Payout Total once they've reached a minimum Available Payout Total of USD 150 (one-hundred and fifty dollars).

3.5 Payout. Payouts are performed in USD via PayPal in all countries, and via Bank Transfer in certain countries chosen by Lnk.Bio at its sole discretion. Referral will bear all expenses incurred by Lnk.bio while performing the Payout, including (if any) the currency conversion cost, and payment method fees. Referrer must ensure that their provided payment details are accurate in order to receive the Payout. Lnk.Bio shall have no responsibility or liability for any incorrect info.

3.6 Customer refunds. If Lnk.Bio is obligated to refund any payment(s) made by Referred Customers (e.g.in cases of credit card fraud) (“Refunded Payments”), in whole or in part, Lnk.Bio may deduct from any future Commissions earned by you, Commissions already redeemed by you based on Refunded Payments.

3.7 Tax. You are responsible for any tax consequences, if any, that may result from your redemption or use of Commissions. Where applicable, Lnk.Bio may be required to account for VAT/GST on any services for which the Commissions are redeemed.

4. Sharing Referral Links

4.1 Sharing the Link. Lnk.Bio wants you to share your Link and earn Commissions, but the Link must be used only for personal and non-commercial purposes. Remember, when you share your Link, you should explain that you are a Lnk.Bio Referrer. You agree that you will not:

1. Duplicate, sell, or transfer your Link in any manner or spread the Link using paid social media or paid search);
2. Create, generate, build, or in any way be responsible of the creation of SEO-optimised landing pages or websites with the scope of ranking high on Search Engines with keywords containing or similar to the Lnk.Bio brand, products or trademarks.
3. Use any forced mechanism to disseminate the Link without actually referring people to the service, including but not limited to cookie dropping, forcing session, hidden cookies, popunders, popups, fake traffic, fake clicks, forced clicks.
4. Try to get referees by spamming, bulk emailing, or sending unsolicited emails.
5. Use, display, or manipulate Lnk.Bio intellectual property (such as Lnk.Bio's logos, trademarks, and copyright-protected work meaning photos, images, drawings and graphics from Lnk.Bio website and Social Media Platforms etc) in any way, except to use the Lnk.Bio name as to identify yourself as a Lnk.Bio customer or Referrer;
6. Directly or indirectly use, create or register any (i) businesses, (ii) URLs, (iii) domain names, (iv) software application names or titles, or (v) social media handles or profiles which is or may be deemed identical or similar in wording, appearance or context to "Lnk.Bio” or other trademarks, domain names or other distinctive marks belonging to, or being licensed to, Lnk.Bio;
7. Purchase keywords (including, but not limited to Google AdWords) that contain any of Lnk.Bio trademarks or product names;
8. Use automated systems or bots through any channel to distribute, post, or otherwise share your Link;
9. Use scripts or programmed or automatic dialers to send invites or otherwise share your Link;
10. Make misleading claims about Lnk.Bio, use offensive/abusive content, create fake websites/webpages/social media profiles/apps, misrepresent your connection to Lnk.Bio, or otherwise make any false or misleading statements to get a referee to use your Link; or
11. Use your Link in any manner that violates the law or the rights of anyone else.

4.2 Multiple Referrals. A Referred Customer may only use one referral link. If a Referred Customer receives referral links from multiple Referrers, only the Referrer associated with the referral link actually used by the referred friend will receive Commissions.

5. Termination

Lnk.Bio may suspend or terminate the Program or a user's ability to participate in it at any time for any reason. We reserve the right to suspend Subscription Plans or remove Commissions if we notice any activity that we believe is abusive, fraudulent, or in violation of these Terms. We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals in our sole discretion as deemed fair and appropriate. The scope, variety, and type of services that you may obtain by redeeming Commissions can change at any time.

6. Miscallaneous

6.1 Independent contractors. The relationship of the parties hereto shall be that of independent contractors and nothing herein shall be construed to create or imply an agency, employment, partnership, or other relationship, it being acknowledged that each of the parties is engaged in its own separate and distinct business and is responsible for any and all federal, state, local, and/or foreign income taxes and self-employment taxes, and any and all other federal, state, and local licenses, fees or taxes, or sales tax, including withholding taxes, social security taxes, and public liability and worker’s compensation insurance.

6.2 Assignment. You agree that these Terms may be assigned, in whole or in part, by Lnk.Bio to any of its affiliates or to any person or entity acquiring Lnk.Bio's business, in whole or in part. Because of the personal nature of your services, you may not assign these Terms or any obligations hereunder.

6.3 Entire agreement. These Terms are complete and embraces the entire understanding between the parties with respect to the subject matter herein. All prior and contemporaneous understandings in connection with the subject matter herein contained, either oral or written, are null and void unless expressly set forth herein.

6.4 Severability. If any provision of these Terms is for any reason deemed invalid, unlawful, void, or unenforceable, then that provision will be deemed severable from these Terms and the invalidity of the provision will not affect the validity or enforceability of the remainder of these Terms. The parties shall replace such provision by one or more valid and enforceable provisions approximating the original intention of the parties as closely as possible.

6.5 Notices. Any notice to be given by either party to the other hereunder shall be deemed to have been sufficiently given if delivered personally or mailed by certified mail, return receipt requested, or overnight mail to the other party at the addresses stated above. Any notice so mailed shall be deemed to have been given on the date it is mailed

6.6 Applicable law and dispute resolution. These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its principles of conflicts of law. Any dispute, controversy or claim arising out of or relating to these terms or the breach, termination or invalidity thereof shall be finally settled by a public court with the Singapore district court as the court of first instance.
